These terms and conditions apply for the Website Product once purchased:
This California Concierge Premium Website Agreement (“Agreement”), dated effective as of ____________________ (“Date of Purchase”) is entered into between Central Business Connections LLC, a California limited liability company (“California Concierge”) and ____________________________________ (“Agent”). It is hereby agreed by and between the parties hereto as follows.
The parties contemplate that California Concierge will offer Agent website services as set forth in Exhibit A.
The term of this Agreement shall commence on the Date of Purchase and shall continue for a period of twelve (12) months (the “Term”). On the anniversary date of the Term, or renewal thereof, unless the agreement is terminated pursuant to Paragraph 7, the Term shall automatically renew for an additional one (1) year period unless terminated by either Party’s thirty (30) day written notice to the other.
The Premium Website setup fee payable to California Concierge shall be One Thousand Nine Hundred Ninety-Nine Dollars ($1,999), paid at the time of purchase via the California Concierge Store. In addition, monthly fees for web hosting and maintenance other agreed implemented features during the term of this Agreement shall be One Hundred Ten Dollars ($110) per month. California Concierge will not be responsible for payment of the agent’s domain name.
Licensed Marks means the trade names, service marks, trademarks, logos, emblems, and indicia of origin supplied by Agent to California Concierge for identifying Agent. Agent represents and warrants that Agent is the owner or authorized user of all Licensed Marks, and has the right to use such Licensed Marks and license others to use such Licensed Marks. Agent hereby grants to California Concierge the limited right and license to use the Licensed Marks solely for the purpose of delivering the website services described herein. Agent shall and hereby does hereby indemnify and hold California Concierge harmless from and against all losses, damages, deficiencies, claims, costs or expenses that California Concierge may incur or which may be claimed as a result of California Concierge’s use of the Licensed Marks.
Agent Intellectual Property means the photographs, images, text, etc., if any, supplied by Agent to California Concierge for incorporation into the website. Agent represents and warrants: (a) that Agent owns all right, title and interest, including copyright, in all Agent Intellectual Property; and (b) no third party has any rights in, to, or arising out of the Agent Intellectual Property. Agent hereby grants to California Concierge the right and license to use the Agent Intellectual Property for the purpose of integration into the website.
California Concierge Supplied Intellectual Property means any unique photographs, images, text, created by California Concierge specific to Agent’s website. California Concierge represents and warrants (a) that California Concierge shall own all right, title and interest, including copyright, in all California Concierge Supplied Intellectual Property; and (b) no third party has any rights in, to, or arising out of the California Concierge Supplied Intellectual Property. California Concierge acknowledges and agrees that after the initial setup and creation of the website, California Concierge Supplied Intellectual Property specific to Agent’s website shall be, to the extent permitted by law, deemed to be works for hire, with the copyright automatically vesting in Agent.
Either Party may terminate this Agreement upon written notice to the other Party in the event of a material breach of any provision of this Agreement by the other Party, provided that the breaching Party is given thirty (30) days to cure the breach. In the event the termination results from a material breach of this Agreement by California Concierge, California Concierge shall refund to Agent a pro rata portion of the annual enrollment fee based on the time remaining in the one-year term. This Agreement may also be terminated by mutual written agreement of both Parties.
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether oral or written.
This Agreement may be amended, modified or superseded only by a written instrument signed by all of the parties to this Agreement.
This Agreement shall be governed by, and shall be construed and enforced in accordance with, the laws of California. Venue shall be whichever county the services described herein are to be performed.
